1.1. The following terms and conditions (the "Ambassador Terms & Conditions") govern the terms under which compensation may be earned by enrolled LemFi Student Ambassadors ("Ambassador") as part of the LemFi EU Student Ambassador Programme (the "Ambassador Programme"). These Ambassador Terms & Conditions apply in addition to, and where relevant supersede, the general LemFi Europe Referral Programme Terms for enrolled Ambassadors only.
1.2. By accepting an offer to participate in the Ambassador Programme and using a LemFi-issued referral code in that capacity, the Ambassador agrees to be bound by these Ambassador Terms & Conditions.
1.3. These terms are drafted in English. In the event of any conflict between these Ambassador Terms & Conditions and the general LemFi Europe Referral Programme Terms, these Ambassador Terms & Conditions shall take precedence for enrolled Ambassadors.
2.1. The Ambassador Programme enables enrolled Ambassadors to earn compensation ("Compensation") for performing or participating in the Qualifying Ambassador Activities ("QAA") set out in these terms.
2.2. Qualifying Ambassador Activities (QAA): An Ambassador shall receive the following Compensation for the QAAs listed below:
2.3. A "Qualifying Transacting Referral" means a new LemFi customer ("Referee") where all of the following conditions are met:
2.4. Non-transacting sign-ups — where a Referee registers using the Ambassador's referral code but does not complete a qualifying transaction within 30 days, the ambassador do not earn the per-referral bonus. The base retainer remains payable subject to the minimum threshold in clause 5.2.
2.5. Other Rewards: LemFi may from time to time introduce additional or temporary QAAs and associated Compensation, which will be disclosed in writing to enrolled Ambassadors along with any additional terms applicable to such promotions.
2.6. LemFi reserves the right to impose and/or change minimum transfer limits at its discretion. Where a minimum transfer limit is in place, only transfers that meet or exceed this limit will constitute valid QAAs. The current minimum qualifying transfer amount is €100 under a single transaction.
2.7. LemFi reserves the right to change the list of QAAs and associated Compensation at its sole discretion. Where material changes are made, LemFi will provide at least 7 days' written notice to enrolled Ambassadors. QAAs validly completed before the date of any change will be honoured under the terms in force at the time of completion.
2.8. All Compensation will be paid to the Ambassador's nominated bank account or LemFi account within 14 days of the end of the engagement month, following verification of qualifying referrals by LemFi. Compensation is not transferable, refundable, or exchangeable for any other reward.

4.1. Ambassadors are required to be registered with the LemFi Service. Only one registration per Ambassador will be accepted.
4.2. Only one LemFi account registration per Referee will be accepted. Subsequent registrations by the same Referee do not qualify as valid referrals.
4.3. A Referee who is an existing LemFi customer, or who has previously used the LemFi Service, does not constitute a valid referral and no Compensation will be payable in respect of that Referee.
4.4. LemFi App reserves the right to void any QAA or withhold payment of any Compensation that:
4.5. LemFi reserves the right to limit the number of individuals per household eligible to count as Qualifying Transacting Referrals under the Ambassador Programme.
4.6. Any attempt by an Ambassador to abuse the Ambassador Programme by using multiple or different identities, registrations, logins, or any other method LemFi considers abusive, at its discretion, will void and disqualify the Ambassador from receiving Compensation under the Ambassador Programme at LemFi's sole discretion.
4.7. Residents of certain countries may be excluded from participating as Referees where local laws make it necessary. LemFi will notify Ambassadors of any applicable Referee exclusions relevant to their engagement country.
5.1. Each Ambassador engagement is for a period of one calendar month, corresponding to the country rollout schedule. The engagement commences on the first day of the relevant month and concludes on the last day of that month unless terminated earlier in accordance with clause 6.
5.2. At the end of each engagement month, LemFi will review the Ambassador's performance. Renewal of the engagement is at LemFi's sole discretion and subject to the Ambassador having achieved a minimum of 30 sign-ups during the engagement month. Ambassadors who do not meet this minimum will not be offered renewal.
5.3. LemFi will notify the Ambassador of its renewal decision within 5 - 10 business days of the end of the engagement month.
5.4. Performance targets set out in clause 3.1(ii) are targets only and do not constitute guaranteed minimum obligations the breach of which would give rise to a legal claim. However, failure to meet the renewal minimum in clause 5.2 will result in non-renewal.
6.1. LemFi may terminate an Ambassador's engagement immediately and without notice where:
6.2. Either party may terminate the engagement on 7 days' written notice without cause. Compensation earned up to the date of termination, pro-rated where applicable, will be paid in accordance with clause 2.8, subject to verification.
7.1. LemFi will deposit or transfer the applicable Compensation to the Ambassador's nominated account within 14 days of the end of the engagement month, once the relevant QAAs have been verified.
7.2. LemFi does not guarantee a specific delivery time for any Compensation paid under any additional promotional QAAs where applicable.
7.3. Compensation is not transferable, refundable, or exchangeable for any other reward or form of payment, save where LemFi expressly agrees otherwise in writing.
8.1. TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTIONS, IN NO EVENT SHALL LEMFI BE LIABLE TO THE AMBASSADOR OR ANY THIRD PARTY FOR ANY DAMAGES ARISING FROM THE AMBASSADOR'S PARTICIPATION IN THE AMBASSADOR PROGRAMME, INCLUDING BUT NOT LIMITED TO SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE AND/OR CONSEQUENTIAL DAMAGES, EVEN IF LEMFI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LEMFI'S MAXIMUM AGGREGATE LIABILITY TO THE AMBASSADOR UNDER ANY AND ALL CIRCUMSTANCES SHALL BE LIMITED TO THE TOTAL VERIFIED COMPENSATION EARNED BY THE AMBASSADOR IN RESPECT OF THE RELEVANT ENGAGEMENT MONTH.
8.2. ALL WARRANTIES, EXPRESS AND IMPLIED, REGARDING THE AMBASSADOR PROGRAMME AND USE OF THE LEMFI APP SERVICES ARE DISCLAIMED (INCLUDING, WITHOUT LIMITATION, THE DISCLAIMER OF ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY AND/OR FITNESS FOR A PARTICULAR PURPOSE). LEMFI MAKES NO REPRESENTATION OR WARRANTY WITH RESPECT TO ANY RESULTS OBTAINABLE THROUGH THE AMBASSADOR PROGRAMME.
9.1. LemFi reserves the right to amend or terminate the Ambassador Programme at any time. Where material changes are made to Compensation rates or performance terms, LemFi will provide at least 7 days' written notice to enrolled Ambassadors. Resolution of all questions or disputes regarding eligibility, Compensation, or compliance with these Ambassador Terms & Conditions shall be subject to LemFi's reasonable interpretation.
9.2. If an Ambassador attempts to use the Ambassador Programme in breach of these Ambassador Terms & Conditions, LemFi's General Terms and Conditions of Services, or in violation of any law, statute or governmental regulation, LemFi will have the right to suspend or terminate the engagement and void the Compensation of the Ambassador.
9.3. All information collected in connection with the Ambassador Programme shall be subject to LemFi's Privacy Policy, available at lemfi.com.
9.4. These Ambassador Terms & Conditions constitute the entire agreement between LemFi and the Ambassador in respect of the Ambassador Programme and supersede any prior representations or agreements relating to the same subject matter. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

10.1. All Ambassadors in the Ambassador Programme accept and acknowledge that these Ambassador Terms & Conditions are subject to the laws of Ireland. All disputes shall be resolved in the courts of Dublin.
