Terms and Conditions

Effective Date: June 2026

1. OVERVIEW

1.1 These Terms and Conditions (the "Campaign Terms") govern participation in the LemFi "June Boost" referral campaign (the "Campaign") operated by LemFi ("we", "us", or "our"). By participating in the Campaign, participants agree to be bound by these Campaign Terms.

1.2 The Campaign invites existing LemFi customers to refer new users in Australia to the LemFi platform, in exchange for tiered rewards, subject to these Campaign Terms.

1.3 These Campaign Terms are in addition to, and do not replace, LemFi's General Terms and Conditions of Service and Privacy Policy, which continue to apply to all participants.

1.4 LemFi reserves the right to amend, suspend, or terminate this Campaign at any time without prior notice. In the event of any conflict between these Campaign Terms and any other LemFi promotional terms, these Campaign Terms shall take precedence for Campaign participants.

2. PROMOTIONAL PERIOD

2.1 The Campaign runs from 1 June 2026 at 00:00 to 30 June 2026 at 23:59 (LemFi server time) (the "Promotional Period").

2.2 Referrals completed outside the Promotional Period will not qualify for rewards. LemFi is not liable for any technical delay that causes a qualifying transfer to fall outside the Promotional Period.

3. ELIGIBILITY

3.1 The Campaign is open to existing LemFi customers only. To be eligible to participate as a referrer, a customer must satisfy all of the following conditions at the time of referral:

(a) The customer must hold an active, fully verified LemFi account (KYC completed) that is not subject to any restriction, suspension, or compliance investigation;

(b) The customer must be a natural person at least 18 years of age; and

(c) The customer must not be an employee, contractor, or close family member of an employee of LemFi or any of its affiliates.

3.2 To be eligible as an invitee (the referred new user), a person must:

(a) Be a new LemFi user who has not previously registered an account on the LemFi platform;

(b) Legally reside in Australia at the time of account creation and at the time of making the qualifying transfer;

(c) Sign up using the referrer's unique referral code or link;

(d) Successfully complete identity verification (KYC); and

(e) Complete a qualifying transfer as described in clause 5 below.

3.3 A referrer may earn rewards by referring multiple eligible new users during the Promotional Period. Each new user may only be referred once and may only use one referral code during sign-up.

3.4 LemFi may use internal systems to identify eligible customers. Receipt of a campaign invitation or promotional communication does not guarantee eligibility. LemFi reserves the right to verify eligibility at any time.

4. HOW THE REFERRAL PROGRAM WORKS

4.1 The referral process operates as follows:

(a) The eligible referrer shares their unique referral code or link from the LemFi app with a prospective new user;

(b) The invitee downloads the LemFi app and creates a new account using the referrer's unique referral code or link during sign-up;

(c) The invitee completes identity verification as required by LemFi;

(d) The invitee completes a qualifying transfer as set out in clause 5; and

(e) Upon successful completion of all required steps, the referral is recorded as a "Successful Referral" contributing toward the referrer's reward tier.

4.2 If an invitee clicks on multiple different referral links before registering, the LemFi system will attribute the referral to the last clicked link or the explicitly entered code at the time of registration. LemFi's internal tracking data shall be deemed final and binding.

4.3 LemFi will not apply any manual or retroactive attribution where an invitee registers without using the designated referral link or code.

5. QUALIFYING TRANSFER AND SUCCESSFUL REFERRAL

5.1 A referral is only considered a "Successful Referral" when the invitee has fulfilled all three of the following cumulative conditions:

(a) Registration: Created a valid LemFi account using the referrer's unique referral link or code;

(b) Verification (KYC): Submitted identity documents that have been approved by LemFi's compliance team; and

(c) Qualifying Transfer: Initiated and completed (status marked as "Completed" or "Delivered") a first-time cross-border money transfer of a minimum of 100 AUD (excluding any transfer fees), to a LemFi-supported destination country, during the Promotional Period.

5.2 The qualifying transfer must be completed as a single transaction. Split transactions or multiple smaller transfers will not qualify.

5.3 An account created by an invitee prior to 1 June 2026 will qualify if and only if the invitee's first transfer of at least 100 AUD is executed during the Promotional Period.

5.4 If the qualifying transfer is cancelled, rejected, reversed, or refunded for any reason, the referral will be invalidated and will not count toward the referrer's reward tier.

5.5 Supported destination countries are listed in the LemFi app and may be updated from time to time.

6. REWARD TIERS AND STRUCTURE

6.1 Referrers accumulate Successful Referrals throughout the Promotional Period. At the close of the Campaign, each referrer will be awarded the reward corresponding to the highest tier they have reached. Reward tiers are strictly non-cumulative.

6.2 The dollar values above refer to the maximum retail value allocated by LemFi for the purchase and delivery of the prize. They do not represent a cash entitlement.

6.3 All rewards are personal, non-transferable, and non-negotiable. Under no circumstances will LemFi convert the value of any prize or gift card into cash, bank transfer, or LemFi wallet credit.

7. NOTIFICATION, SELECTION, AND DELIVERY

7.1 Winners will be notified via the email address associated with their LemFi account in early July 2026. Winners will have a strict deadline of 14 calendar days from the date of notification to:

(a) confirm receipt of the notification;

(b) provide a valid postal address (where applicable); and

(c) indicate their prize selection for tiers offering options.

7.2 Failure to respond within 14 calendar days reserves LemFi the right to forfeit the reward, with no obligation to the referrer.

7.3 LemFi will make its best efforts to deliver physical goods. Where delivery of certain items (including but not limited to e-bikes or electronics with lithium batteries) is not possible due to import restrictions or excessive customs requirements in the referrer's country of residence, LemFi reserves the right, at its sole discretion, to substitute the prize with a gift card or digital item of equivalent value.

7.4 LemFi is not the manufacturer of any physical goods offered as prizes and disclaims all liability in respect of product warranty, maintenance, repair, or quality. Any defects must be directed to the relevant manufacturer.

7.5 Winners are solely responsible for the reporting and payment of any taxes, duties, or other levies applicable to the receipt of prizes under the laws of their jurisdiction.

8. FRAUD PREVENTION AND ACCOUNT SUSPENSION

8.1 LemFi operates a zero-tolerance policy in respect of fraud or abuse of the Campaign. Any attempt to manipulate the referral program — including but not limited to self-referral, creation of multiple accounts, use of fictitious or third-party identities, circular fund transfers, use of bots or automated scripts, use of paid referral networks, or falsification of identity documents — constitutes a material breach of these Campaign Terms.

8.2 Where LemFi identifies or reasonably suspects fraudulent or abusive activity, LemFi reserves the right to:

(a) void the relevant referral and any associated reward;

(b) recover any reward or benefit already received by the participant;

(c) suspend or permanently close the participant's LemFi account; and

(d) take such further action as may be appropriate, including referral to relevant authorities or initiation of legal proceedings.

8.3 LemFi's determination of fraudulent or abusive activity is final and binding.

9. DATA AND PRIVACY

9.1 All personal data collected in connection with the Campaign — including name, email address, LemFi account data, and referral activity — will be processed in accordance with LemFi's Privacy Policy, available at lemfi.com.

9.2 By participating in the Campaign, participants consent to LemFi processing their personal data for the purposes of administering the referral program, verifying referral activity, and fulfilling rewards.

9.3 LemFi will not sell or share participant personal data with unaffiliated third parties except as required by law or as described in LemFi's Privacy Policy.

9.4 For participants located in the European Union, LemFi processes personal data in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR). Participants have the right to access, rectify, erase, or restrict processing of their personal data, and to lodge a complaint with a supervisory authority. 10. LIMITATION OF LIABILITY

10.1 To the fullest extent permitted by applicable law, LemFi's maximum aggregate liability to a participant in connection with the Campaign shall be limited to the value of the reward tier attained by that participant.

10.2 LemFi shall not be liable for any indirect, special, incidental, punitive, or consequential damages arising from or in connection with the Campaign, including but not limited to loss of revenue, loss of data, or damage to reputation.

10.3 LemFi is not responsible for any failure to process or attribute a referral due to technical issues, internet connectivity problems, server outages, or errors on the part of the participant.

11. CAMPAIGN AMENDMENTS AND TERMINATION

11.1 LemFi reserves the right to amend these Campaign Terms, including reward tiers, prize values, minimum transfer thresholds, and eligible markets, at any time. Where material changes are made, LemFi will use reasonable efforts to provide prior notice to participants.

11.2 Referrals completed and rewards approved before the effective date of any amendment will be honoured under the terms in force at the time of completion.

11.3 LemFi reserves the right to suspend or terminate the Campaign at any time, with or without notice, including where LemFi determines that the Campaign is being abused, is no longer commercially viable, or where required by regulatory constraints. Upon termination, no further referrals will be eligible for reward.

12. OTHER TERMS

12.1 These Campaign Terms constitute the entire agreement between LemFi and the participant in respect of the Campaign and supersede any prior representations or communications relating to the Campaign.

12.2 If any provision of these Campaign Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

12.3 LemFi's failure to enforce any provision of these Campaign Terms shall not constitute a waiver of LemFi's right to enforce that provision in the future.

12.4 These Campaign Terms do not create any partnership, employment, agency, or joint venture relationship between LemFi and the participant.

13. GOVERNING LAW AND JURISDICTION

Australia

13.1 For participants registered in Australia, these Campaign Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of New South Wales, Australia.

13.2 The courts of New South Wales shall have non-exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Campaign Terms, without prejudice to any mandatory consumer protection rights afforded to participants under the Australian Consumer Law.

United Kingdom

13.3 For participants registered in the United Kingdom, these Campaign Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

13.4 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Campaign Terms.

European Union

13.5 For participants registered in the European Union, these Campaign Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Ireland.

13.6 The courts of the Republic of Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Campaign Terms, without prejudice to any mandatory consumer protection rights afforded to participants under the laws of their country of residence within the European Union.

Canada

13.7 For participants registered in Canada, these Campaign Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

13.8 The courts of the Province of Ontario shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Campaign Terms.

United States

13.9 For participants registered in the United States, these Campaign Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13.10 Any dispute arising out of or in connection with these Campaign Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware. Nothing in this clause limits any mandatory rights participants may have under the consumer protection laws of their state of residence.
