Terms and Conditions for LemFi’s "Refer a Friend & Earn €25" Campaign – Europe

These terms and conditions apply to all Participants involved in the Refer a Friend & Earn €25 Campaign.

Pomelo Technology US Inc. “LemFi”, (together with all subsidiaries thereof, the “Company”, “we”, “us”, “LemFi”, interchangeably) may offer referral programs or incentives for inviting friends and family or those with whom the Referrer has a personal relationship to use its services (a “Referral Program”). Any bonuses or incentives under such Referral Program are subject to these Referral Program Terms and Conditions (the “Terms & Conditions”), as available and amended at our sole discretion.

By participating in the LemFi Refer a Friend & Earn €25 Campaign, you agree to the following Terms and Conditions. LemFi may at any time and at its sole discretion, terminate, cancel, suspend, withdraw or modify the campaign or these terms without prior notice. Please refer to the definitions below for clarification as to the meaning of various words and phrases under these Terms & Conditions.

Definitions: (Key Terms)

Program/Promotion: The "Refer a Friend & Earn €25" campaign is open to existing LemFi users residing in supported European countries who refer friends using their unique referral code. For each successful referral, the referred friend must sign up using the code, fully verify their account, and complete a single qualifying transfer of €100 or more to Kenya during the campaign period.

Prize/Reward: €25 total reward per successful referral (€15 automatic in-app referral bonus + €10 additional cashback), credited to the Referrer’s LemFi wallet.

Promotion Period: The campaign begins on February 9, 2026, and ends on March 31, 2026, at 11:59 PM CET.

Participant/Referrer: The campaign is open to existing LemFi customers.

Valid LemFi Account: Participants must reside in a supported European country where LemFi services are available, have a fully verified LemFi account, and comply with all of LemFi’s standard terms of service.

Referee/Referred Friend: A new user who has never previously held or registered a LemFi account, resides in a supported country, signs up using the Referrer’s unique referral code, completes full account verification (KYC), and performs a Qualifying Transfer.

Qualifying Transfer: A single international money transfer of €100 or more (or the equivalent in any other supported sending currency) from the Referee’s LemFi account to a recipient in Kenya, completed and settled during the Promotion Period.

1. LemFi Campaign Period

You may participate in this campaign between February 9, 2026, and March 31, 2026, until LemFi terminates, withdraws, suspends, or modifies it.

2. Eligibility to Participate

This campaign is open to all LemFi users aged 18 years and above.

Participants must:

• Reside in a supported European country,
• Have a fully verified LemFi account,
• Comply with all LemFi’s standard terms of service.

The following individuals are not eligible to participate:

• Employees, contractors, and affiliates of LemFi.
• LemFi brand ambassadors, influencers, and any individuals running paid promotional campaigns on behalf of LemFi.

3. Rewards

Rewards Breakdown:

• The Referrer will receive a total of €25 per successful referral, consisting of:
  • €15 automatic in-app referral bonus (credited shortly after the Referee completes the Qualifying Transfer),
  • €10 additional cashback (credited to the Referrer’s LemFi wallet).
• Rewards are credited once the Referred Friend completes a Qualifying Transfer of €100 or more to Kenya.
• Both parts of the reward will be credited within 7 working days after the Qualifying Transfer has been successfully settled.
• There is no limit to the number of friends a Referrer can invite during the campaign period. Rewards are earned for each qualifying successful referral.

**For Example: **
If you refer 4 friends and each of them signs up using your code, fully verifies their account, and sends €100 or more to Kenya during the campaign period, you will receive 4 × €25 = €100 in total rewards (€60 automatic in-app bonuses + €40 additional cashback) credited to your LemFi wallet.

4. How to Qualify

To earn the €25 reward for each referral, all of the following must occur during the Promotion Period:

• You share your unique referral code (found in the LemFi app under the Referrals or Invite section) with friends.
• The Referred Friend (new user) signs up for a LemFi account using your referral code.
• The Referred Friend completes full account verification (KYC).
• The Referred Friend completes a Qualifying Transfer of €100 or more to Kenya.

5. Restrictions Applicable to prizes, awards, winning

This offer is valid only during the promotion period: February 9, 2026 to March 31, 2026.

• Only transfers to Kenya are eligible for this promotion.
• Referred users must create a new account using your referral code and send €100 or more to Kenya within the campaign period for the referral to be considered successful.
• Users who signed up with a referral code before the start of the campaign period (before February 9, 2026) are not eligible for this promotion.
• Self-referrals, fake accounts, duplicate accounts, bulk distribution of referral codes (e.g. via public forums, paid advertising, or mass messaging), or referrals made in bad faith are not permitted and will be disqualified.

6. Receiving and Using Rewards

LemFi reserves the right to limit, cancel, delay, or revoke this promotion and any associated rewards if LemFi determines, in its sole discretion, that a Participant has violated these Terms or the LemFi User Agreement or has acted in a fraudulent or abusive manner, or if LemFi restricts or closes their Valid Account pursuant to the LemFi User Agreement.

Accrued rewards can only be used against any future international money transfers after such rewards have been earned, granted and approved by LemFi.

7. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTIONS, IN NO EVENT SHALL LEMFI BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES ARISING FROM YOUR PARTICIPATION IN THE REFERRAL PROGRAMME, INCLUDING BUT NOT LIMITED TO SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE AND/OR CONSEQUENTIAL DAMAGES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LEMFI’S MAXIMUM AGGREGATE LIABILITY TO ANY PARTICIPANT AND ANY THIRD PARTY UNDER ANY AND ALL CIRCUMSTANCES SHALL BE THE THEN-CURRENT VALUE OF THE PARTICIPANT’S UNSPENT MONETARY REWARD UNDER THIS REFERRAL PROGRAM.

8. OTHER TERMS AND CONDITIONS

8.1. We reserve the right to amend or terminate this campaign at any time without notice. Resolution of all questions or disputes regarding eligibility for the campaign, earnings of rewards, or your compliance with these Terms & Conditions shall be subject to our reasonable interpretation.
8.2. If a Participant breaches the User Agreement or is in violation of any law, statute or governmental regulation, we will have the right to suspend or terminate the account under the User Agreement or void the Rewards of the participant.

9. GOVERNING LAW

This campaign is subject to the laws of the European Union (or the laws of the Participant’s country of residence within the EU/EEA where applicable), to which the user and LemFi shall submit in respect of any claims or disputes.
