Terms and Conditions

Effective Date: 15th May 2026

1. OVERVIEW

1.1 These Terms and Conditions (the "Campaign Terms") govern participation in the Refer a Friend Abroad Campaign (the "Campaign") operated by LemFi. By participating in the Campaign, participants agree to be bound by these Campaign Terms.

1.2 The Campaign invites existing LemFi customers based in eligible receiving countries to refer friends or family members located abroad to LemFi, in exchange for a cashback reward credited to their LemFi account. The referred friend will also receive a welcome bonus upon completing their first qualifying transaction.

1.3 These Campaign Terms are in addition to, and do not replace, LemFi's General Terms and Conditions of Service and Privacy Policy, which continue to apply to all participants.

1.4 LemFi reserves the right to amend, suspend, or terminate this Campaign at any time without prior notice. In the event of any conflict between these Campaign Terms and any other LemFi promotional terms, these Campaign Terms shall take precedence for Campaign participants.

1.5 This Campaign is open exclusively to LemFi customers who are based in and operating their LemFi account from one of the following eligible referring territories: Nigeria, Ghana, Kenya, and countries operating in XOF or XAF currency zones. Customers based outside of these territories are not eligible to participate as referrers, regardless of their nationality.

2. ELIGIBILITY

2.1 The Campaign is open to existing LemFi customers only. To be eligible to participate as a referrer, a customer must satisfy all of the following conditions at the time of referral:

(a) The customer's LemFi account must have been active for a minimum of 30 days;

(b) The customer must have completed a minimum of two (2) successful transactions on the LemFi platform;

(c) The customer's account must be in good standing with no history of fraudulent activity, policy violations, or pending investigations; and

(d) The customer must not be an employee, contractor, or close family member of an employee of LemFi or any of its affiliates.

(e) The customer must be based in and operating their LemFi account from Nigeria, Ghana, Kenya, or a country within the XOF or XAF currency zones. Each customer may only earn the referral reward once per referred friend.

2.2 Participants must be at least 18 years of age, or the age of majority in their jurisdiction, whichever is higher.

2.3 The person being referred (the "Referee") must:

(a) Be located in one of the following eligible sending territories: the United Kingdom, the United States of America, Canada, or a member state of the European Union;

(b) Not already be a registered LemFi customer at the time the referral is made;

(c) Successfully register a new LemFi account using the referrer's unique referral link; and

(d) Complete a minimum of one (1) successful transaction of at least $50 USD (or local currency equivalent) on the LemFi platform within 30 days of registration.

2.4 LemFi will use its CRM system to automatically tag customers as campaign-eligible once the conditions in clause 2.1 are met. Receipt of a campaign communication does not guarantee eligibility; LemFi reserves the right to verify eligibility at the point of reward issuance.

3. CAMPAIGN STRUCTURE AND PROCESS

3.1 The Campaign process operates as follows:

(a) Eligible customers in Nigeria, Ghana, Kenya, or XOF/XAF currency zone countries are identified and may receive a personalised campaign communication via LemFi's CRM system;

(b) The eligible customer shares their unique referral link with a friend or family member located in the UK, USA, Canada, or EU;

(c) The Referee clicks the referral link and registers a new LemFi account;

(d) The Referee completes at least one (1) successful transaction of $50 USD or more (or local currency equivalent) within 30 days of registration;

(e) LemFi's system automatically verifies that all eligibility conditions under clauses 2.1 and 2.3 have been satisfied; and

(f) Upon verification, the referrer's cashback reward is credited to their LemFi account within 72 hours of the qualifying transaction being confirmed, and the Referee's welcome bonus is credited to their LemFi account simultaneously.

3.2 Each referral link is unique to the referring customer and may only be used once per Referee. Attempts to use the same referral link multiple times, or to refer the same individual across multiple accounts, will be treated as a breach of these Campaign Terms.

3.3 LemFi may use cookies or similar tracking technology on Campaign-related landing pages to show relevant LemFi adverts on Facebook, Google, Snapchat, and TikTok.

4. INCENTIVE STRUCTURE AND REWARD

4.1 Referrer Rewards (Africa-side)

Upon successful completion of a qualifying referral as set out in clause 3.1, the referring customer will receive the following cashback reward credited to their LemFi account, based on their country of residence:

4.2 The referrer's reward is contingent on the Referee completing a first transaction of a minimum value of $50 USD (or local currency equivalent). Referrals where the Referee's first transaction is below this threshold will not qualify for the reward.

4.3 Referee Welcome Bonus (Sending-side)

Upon completing their first qualifying transaction of $50 USD or more, the Referee will receive the following welcome bonus credited to their LemFi account, based on their country of residence:

4.4 The Referee welcome bonus is a standard in-app bonus applied automatically upon completion of the qualifying first transaction. It is not stackable with any other new customer promotion unless otherwise stated by LemFi.

4.5 Both the referrer reward and the Referee welcome bonus are payable once per qualifying referral. Referring multiple eligible friends may result in multiple referrer rewards, subject to the monthly cap in clause 4.6.

4.6 Maximum reward cap: Referrers may earn a maximum of five (5) referral rewards per calendar month during the Campaign Period.

4.7 All rewards are credited exclusively to the respective participant's LemFi account. Rewards are not transferable, redeemable for cash outside the LemFi account, or exchangeable for any other form of payment.

4.8 LemFi reserves the right to adjust reward amounts or the incentive structure at any time with reasonable notice.

5. CAMPAIGN PERIOD

5.1 The Campaign runs from 15th May 2026 to 15th July 2026 (the "Campaign Period"), inclusive of both dates.

5.2 Referrals made outside of the Campaign Period will not qualify for any reward. Both the referral and the Referee's qualifying transaction must occur within the Campaign Period to be eligible.

5.3 LemFi reserves the right to extend, shorten, or otherwise modify the Campaign Period at any time with reasonable notice to participants.

6. FRAUD PREVENTION AND ACCOUNT SUSPENSION

6.1 Any attempt to manipulate the Campaign process — including but not limited to self-referrals, use of multiple LemFi accounts, referring fictitious individuals, coordinating with others to circumvent eligibility requirements, or any other form of inauthentic activity — constitutes a material breach of these Campaign Terms.

6.2 Where LemFi identifies or reasonably suspects fraudulent or abusive activity in connection with a Campaign referral, LemFi reserves the right to:

(a) Immediately void the relevant referral and any associated reward;

(b) Recover any reward already credited to the participant's LemFi account;

(c) Suspend or permanently close the participant's LemFi account; and

(d) Take such further action as may be appropriate, including referral to relevant authorities.

6.3 LemFi's determination of fraudulent or abusive activity is final.

7. DATA AND PRIVACY

7.1 All personal data collected in connection with the Campaign — including name, email address, LemFi account data, and referral activity — will be processed in accordance with LemFi's Privacy Policy available at lemfi.com.

7.2 By participating in the Campaign, participants consent to LemFi processing their personal data for the purposes of administering the Campaign, verifying referrals, and crediting rewards.

7.3 Participant data may also be used to add participants to retargeting audiences on Facebook, Google, Snapchat, and TikTok in connection with Campaign-related landing pages as described in clause 3.3. Participants can manage their advertising preferences through the relevant platform's settings.

7.4 LemFi will not sell or share participant personal data with unaffiliated third parties except as required by law or as described in LemFi's Privacy Policy.

7.5 Where participants are based in Nigeria, Ghana, or Kenya, personal data will be processed in compliance with applicable local data protection legislation, including the Nigeria Data Protection Act 2023, the Ghana Data Protection Act 2012, and the Kenya Data Protection Act 2019 respectively.

8. LIMITATION OF LIABILITY

8.1 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEMFI'S MAXIMUM AGGREGATE LIABILITY TO A PARTICIPANT IN CONNECTION WITH THE CAMPAIGN SHALL BE LIMITED TO THE VALUE OF THE REWARD CREDITED OR PAYABLE TO THAT PARTICIPANT IN RESPECT OF THE RELEVANT REFERRAL.

8.2 LEMFI SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR IN CONNECTION WITH THE CAMPAIGN, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, OR DAMAGE TO REPUTATION.

8.3 LemFi is not responsible for any failure to track or register a referral due to technical issues, internet connectivity problems, disabled cookies, or errors on the part of the participant or Referee.

9. CAMPAIGN AMENDMENTS AND TERMINATION

9.1 LemFi reserves the right to amend these Campaign Terms, including reward amounts, eligibility requirements, and the Campaign Period, at any time. Where material changes are made, LemFi will use reasonable efforts to provide prior notice to participants.

9.2 Referrals completed and approved before the effective date of any amendment will be honoured under the terms in force at the time of approval.

9.3 LemFi reserves the right to suspend or terminate the Campaign at any time, with or without notice, including where LemFi determines that the Campaign is being abused or is no longer commercially viable.

9.4 Upon termination of the Campaign, no further referrals will be accepted, and any pending referrals at the time of termination will be processed under the terms in force at that time, subject to LemFi's rights under clause 6.2.

10. OTHER TERMS

10.1 These Campaign Terms constitute the entire agreement between LemFi and the participant in respect of the Campaign and supersede any prior representations or communications relating to the Campaign.

10.2 If any provision of these Campaign Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

10.3 LemFi's failure to enforce any provision of these Campaign Terms shall not constitute a waiver of LemFi's right to enforce that provision in the future.

10.4 These Campaign Terms do not create any partnership, employment, agency, or joint venture relationship between LemFi and the participant.

11. GOVERNING LAW AND JURISDICTION

NIGERIA, GHANA, KENYA, AND XOF/XAF CURRENCY ZONE COUNTRIES

11.1 These Campaign Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, without prejudice to any mandatory consumer protection rights afforded to participants under the laws of their country of residence.

11.2 The courts of England and Wales shall have non-exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Campaign Terms or their subject matter or formation. LemFi acknowledges that participants in Nigeria, Ghana, Kenya, and XOF/XAF currency zone countries may also have recourse to the courts of their respective countries of residence in accordance with applicable local law.
